NORTHERN CHAPTER
CONSTITUTION
ARTICLE I
NAME AND OBJECTIVE
SECTION I. NAME
This organization shall be known as the “WESTERN STATES AUTO THEFT INVESTIGATORS ASSOCIATION, NORTHERN CHAPTER,” and is hereinafter referred to as the “Association”. The name of the Association shall not be used publicly by any member without the express written permission of the Executive Board. This shall not restrict the officers, agents, or appointees of the Association from using the Association name to carry on the duties of their office. No officer or member of the Association may act in the name of the Association to endorse any product or service, nor shall the Association’s seal or logo be used in any advertisement of any product or service, without prior written approval of the Executive Board. Geographically, the Association will include the northern California area and Nevada.
The following By Laws were reviewed and revised pursuant to the majority vote at the March 28, 2019 meeting.
SECTION 2. OBJECTIVE
The objectives and purposes of this Association shall be:
The designation of any purpose or objective herein shall not be construed to be a limitation, qualification, or restriction upon the objective and purposes of the Association.
ARTICLE II
MEMBERSHIP
SECTION 1. MEMBERSHIP
Any representative of a law enforcement agency, a governmental agency, NICB (National Insurance Crime Bureau), or any company of or business that insure vehicles against theft and who have the responsibility of investigating vehicle theft and/or insurance frauds involving vehicles may apply for membership. Applications from private industry individuals must be endorsed by an active or retired Peace Officer or by an active or retired public safety member.
SECTION 2. TERMINATION
Membership in the Association shall terminate by: (1) voluntary withdrawal, (2) when any member is in arrears with dues or other obligations to the Association, or (3) by a majority vote of the Executive Board when the Board, in its discretion, determines that any member has exhibited conduct inconsistent with the objectives or qualifications of the Association. The Executive Board may also place on probation, censure, or suspend the membership of any member, but only then after a majority vote of the Executive Board. The President may appoint a three (3) member committee to initiate such review or investigation, except in cases of termination by voluntary withdrawal or for nonpayment of dues, in which case Article V, Section I, shall apply. The Executive Board shall give any such member due notice and an opportunity to be heard before any such termination, probation, censure, or suspension of membership. Any probated, censured, or suspended member may be reinstated by a majority vote of the Executive Board. Any terminated member, other than for nonpayment of dues, shall be granted membership, upon application, upon a two-thirds (2/3) vote of the members present at the meeting following the meeting at which the application is submitted.
SECTION 3. APPLICATION FOR MEMBERSHIP
Applications for membership shall be made to the Secretary with the endorsement, when required. Membership dues shall accompany the application for membership in accordance with Article V, Section I.
ARTICLE III
ELECTIONS, TERMS AND OFFICES
SECTION I. OFFICERS
The Officers of the Association shall be President, Vice President, Secretary, Treasurer, and Sergeant-at-Arms.
SECTION 2. EXECUTIVE BOARD
The Executive Board of the Association shall be composed of the President, Vice President, Secretary, Treasurer, Sergeant-at-Arms, and a minimum of five (5) Directors. By quorum vote of the Executive Board, the number of Directors can be increased to seven (7) for that calendar year.
SECTION 3. TERMS OF OFFICE
The Officers of the Association shall hold office for one year unless deemed differently by the general membership. Nothing in this chapter shall require the Association to elevate any officer to the next highest office during any election.
SECTION 4. PRESIDENT
The President shall be the Chief Executive Officer of the Association, and it shall be his/her responsibility to supervise and coordinate the activities and business of the Association and to preside at all of the meetings of the Association and of the Executive Board. He/she may sign, with the Secretary or any other officer authorized by the Association, any and all legal instruments authorized by the Association to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Association, or by law, to some other officer or member. He/she shall appoint appropriate members to committees for the conduct and activities of the Association and shall require reports from each, as he/she deems fit. The President, through regular communications with the other officers of the Association, shall assure himself/herself that the responsibilities of the other officers are being properly fulfilled. In general, the President shall perform all duties incident to the office of the President and such other duties as may be assigned by the Association.
SECTION 5. VICE PRESIDENT
In the absence of the President, the Vice President shall perform the duties of the President and shall have all the powers of, and be subject to all the restrictions of, the President. Otherwise, the Vice President shall perform, and have authority to perform, only such duties as may be assigned by the President or the Association.
SECTION 6. SECRETARY
The Secretary shall keep the records and minutes of all of the meetings of the Association and of the Executive Board; see that all notices are duly given in accordance with the provisions of these Bylaws, or as required by law; be the custodian of the corporate records and of the seal/logo of the Association, and see that the seal/logo of the Association is fixed to all documents, the execution of which is duly authorized; maintain or cause to be maintained the roll of members; maintain the Constitution and Bylaws and the Articles of Incorporation of the Association; and maintain all other documents or items of value entrusted to him/her. It shall be the Secretary’s duty to receive and acknowledge all communications of the Association addressed to him/her or that may be submitted to him/her by the Officers of the Association, and in general, perform all duties incident to the office of Secretary and such other duties as may be assigned to him/her by the President or the Association.
SECTION 7. TREASURER
The Treasurer shall keep or cause to be kept all financial records of the Association; shall be the custodian of the funds of the Association; shall disburse such funds by check in accordance with Article V, Section 3; deposit all monies in the name of the Association in accordance with Article V, Section 4; and in general, perform all duties incident to the office of Treasurer and such other duties as may be assigned to him/her by the President or the Association. He/she shall render a complete summary of all income, disbursements, and balances to the members of the Association at each regular meeting and whenever requested by the Executive Board. A written copy of this report shall be made available to any member upon request.
SECTION 8. SERGEANT-AT-ARMS
The Sergeant-at-Arms shall keep and preserve the order and peace of all meetings and shall execute such commands as directed by the President or by the Executive Board. He/she shall oversee all of the voting and shall ensure that all persons voting are members of the Association and eligible to vote. In general, he/she shall perform all duties incident to the office of Sergeant-at-Arms and such other duties as may be assigned to him/her by the President or the Association.
SECTION 9. DIRECTORS
Under the direction of the President, the Directors shall have all the rights and authority for the management of the affairs of the Association unless otherwise provided for in the Bylaws. One (1) Director’s position will be designated for the immediate Past President of the Association.
SECTION 9(a). ASSOCIATE DIRECTORS
Associated Directors shall assist the Executive Board and its committees in the purposes of the Association. They shall provide support and direction to the Executive Board. They shall assist in the preparation and coordination of training events at the direction of the President and or Vice President. Associated Directors shall be elected by a majority of association members during the annual or bi-annual elections held by the Northern California Chapter of WSATI. Associated Directors shall not have Executive Board voting rights.
SECTION 10. QUALIFICATIONS
Each nominee for office must have attended at least 50 percent (50%) of the meetings in the preceding year to his or her nomination. At least one (1) of the offices must be held by law enforcement/certified peace officers. Associate directors must attend 25 percent (25%) of the meetings in the preceding year to his or her nomination.
SECTION 11. ELECTION
Nominations and elections for all Officers shall be made at the January meeting. Nominations may be made by any member present. Elections will be based on the majority vote of the active members present.
SECTION 12. VACANCIES
In the event of a vacancy occurring among the Officers, nominations and elections for that Office or Offices should be made at the regular meeting following the meeting at which the announcement of the vacancy is made.
ARTICLE IV
GOVERNMENT
SECTION 1. GOVERNMENT
The government of the Association shall be vested in the membership of the Association. Ten (10) members present at any duly constituted meeting shall constitute a quorum of the Association. A simple majority vote of the members present shall resolve the question put before the Association, unless a greater majority is specifically required by other Articles of the Constitution.
SECTION 2. DUTIES AND POWERS
The Association shall have full power to initiate and transact all lawful business, directed through the Executive Board, necessary for the existence of the Association and the observance of its purposes and objectives.
SECTION 3. EXECUTIVE BOARD
The Executive Board may conduct meetings in accordance with Article IV, Section 4. Five (5) members of the Executive Board at any duly constituted meeting shall constitute a quorum of the Executive Board. In the event the number of directors has been increased to seven (7) for that calendar year, six (6) members of the Executive Board at any duly constituted meeting shall constitute a quorum of the Executive Board. Each member of the Executive Board shall be entitled to one vote on any question coming before the Board. A simple majority vote of those Executive Board members responding to a question before the Board shall determine the question, unless a greater majority is specifically required by other Articles of this Constitution. No proxy vote or absentee vote shall be allowed. The Executive Board may initiate and transact any lawful business delegated to them by the Association.
SECTION 4. MEETINGS
The Association shall hold regular meetings at a time and place designated by the Executive Board. These regular meetings shall be held at least four times per year. The Association may substitute a training day for its members in place of no more than two of the regular meetings. One of these meetings may be substituted by the annual Association Training Conference. The Executive Board may meet at any time or place upon the reasonable call of the President or at the request of a majority of the Executive Board. Committees may meet upon the reasonable call of the committee chairman. A special meeting of law enforcement officers only of the Association may be held as needed for law enforcement purposes.
ARTICLE V
FINANCE
SECTION 1. FEES AND DUES
Annual dues in the Association shall be fixed by a majority vote of the members present at the last scheduled meeting of the year and shall be payable by the January meeting. Each member shall be responsible for paying his/her dues. Failure to pay dues within ninety (90) days of the due day may result in a forfeiture of membership. Reinstatement of membership shall occur when the proper dues are paid. A prospective member shall submit dues with his/her application for membership.
SECTION 2. LOANS
No loans to the Association shall be contracted on its behalf and no evidence of indebtedness shall be issued in its name unless authorized by a resolution of the Association. Such authority may be general or confined to specific instances.
SECTION 3. CHECKS, DRAFTS, ETC.
All checks, drafts, or other orders for the payment of money, notes, or other evidences of indebtedness issued in the name of the Association, shall be signed by the Treasurer, and any other officer or officers so authorized by the Executive Board, and in such manner as shall from time to time be determined by the Executive Board. Two (2) signatures shall be required on all checks, drafts, etc.
SECTION 4. DEPOSITS
All funds of the Association not otherwise employed, shall be deposited when received by the Treasurer, or any other officer or officers so authorized by the Executive Board, to the credit of the Association in such banks, trust companies, or other depositories as the Executive Board may designate or authorize.
SECTION 5. AUDIT
The accounts of the Association shall be audited upon change or departure, of either the President or Treasurer, by a Finance Committee appointed by the President. A Written report shall be available to the membership upon request.
SECTION 6. SPECIAL EXPENDITURES
The Secretary shall be allowed a petty cash fund of $50.00 for the purpose of buying stamps, supplies, etc., and will furnish receipts for all purchases. In addition, the Treasurer is authorized to provide funds for raffle prizes for each meeting.
Other authorized expenditures include the payment of travel and registration expenses of the President when he/she attends and annual Association Training Conference held outside the geographical boundaries of the Northern Chapter.
SECTION 7. AL WEATHERMAN AWARD
The Board of Directors will select the Annual Al Weatherman Award recipient.
The recipient must be a current member of WSATI Northern Chapter. The award is open to any member in good standing. The award will be presented at the first scheduled meeting of each year.
SECTION 8. DISTINGUISHED SERVICE AWARD
The Northern WSATI Board of Directors shall select the Annual Distinguished Service Award recipient. The award shall be presented at the annual conference by the Northern WSATI President or designee. The recipient shall be chosen from nominees furnished by all three California WSATI Chapters. The nominees may be from either law enforcement or the insurance industry. The nominee, in some way, has distinguished himself or herself in the ongoing fight against auto theft and auto fraud.
ARTICLE VI
AMENDMENTS
The Constitution may be amended at any meeting of the Association by a vote of two-thirds (2/3) of the members voting, provided:

CONFLICTING PROVISIONS
In the event of any conflict between this Constitution and applicable provisions contained in the laws of the States of California and Nevada, such applicable state law and/or regulation shall control.
ARTICLE VIII
PAST PRESIDENTS
Past Presidents of the association will be considered to be life time members of the association based upon their prior service to the organization. All rights and privileges are granted of a paid member in good standing. Past Presidents will have the voluntary option, but not the responsibility, of paying dues for the membership year. This right/ privilege may be revoked under authority of article III section 2 Item 3 of these bylaws.

- The Association does not contemplate pecuniary gain or profit to the members thereof, and the Association is organized for nonprofit purposes.

ARTICLE VI
AMENDMENTS
The Constitution may be amended at any meeting of the Association by a vote of two-thirds (2/3) of the members voting, provided:
- The proposed amendment is presented in a form consistent with and without conflict to the remainder of the existing Constitution of the Association.
- The proposed amendment is disseminated to the general membership through normal written communications at least thirty (30) days prior.
ARTICLE VII
CONFLICTING PROVISIONS
In the event of any conflict between this Constitution and applicable provisions contained in the laws of the States of California and Nevada, such applicable state law and/or regulation shall control.
ARTICLE VIII

All rights and privileges are granted of a paid member in good standing. Past Presidents will have the voluntary option, but not the responsibility, of paying dues for the membership year. This right/ privilege may be revoked under authority of article III section 2 Item 3 of these bylaws.
